1. ข้อตกลงนี้ใช้กับอะไร

ข้อตกลงนี้ใช้กับเว็บไซต์ arunboard.com, บอร์ดของลูกค้าบน app.arunboard.com และลิงก์บอร์ดอื่นที่เราให้ไว้, ส่วนขยาย Arunboard Connect, ตัวอย่างบอร์ด (demo), เครื่องมือฟรีบนเว็บไซต์ และบทความ รวมเรียกว่า “บริการ” ผู้ให้บริการคือ อรุณบอร์ด (Arunboard) ดำเนินการโดย ณากร ศรีสนธิยากุล (“เรา”) การใช้บริการถือว่าคุณยอมรับข้อตกลงนี้ ส่วนข้อมูลที่ส่วนขยายเก็บ ดูได้ที่ นโยบายความเป็นส่วนตัวของ Arunboard Connect

2. บริการคืออะไร

เราดึงข้อมูลร้านของลูกค้าจาก Shopee, Lazada และ TikTok ด้วยสิทธิ์ที่ลูกค้าให้ผ่านส่วนขยาย เก็บลง Google Sheet ที่เราดูแลให้ลูกค้าแต่ละราย แล้วแสดงผลเป็นบอร์ด แพ็กเกจและราคาเป็นไปตามหน้าราคา หรือใบเสนอราคาที่ตกลงกัน

3. บัญชีและการเข้าใช้

• สิทธิ์เข้าบอร์ดผูกกับอีเมลที่ลูกค้าแจ้ง ใช้ได้เฉพาะคนในธุรกิจของลูกค้า ห้ามให้บุคคลภายนอกใช้ และห้ามแบ่งหรือขายสิทธิ์เข้าใช้
• ลูกค้าดูแลบัญชี seller center ของตัวเอง และยืนยันว่ามีสิทธิ์ให้เราดึงข้อมูลของร้านนั้น
• ลูกค้าอนุญาตให้เราใช้ session ที่ส่วนขยายส่งมา เพื่อดึงข้อมูลร้านของลูกค้าเท่านั้น

4. ข้อมูลของร้าน

• ข้อมูลร้าน ตัวเลข และรายงานที่ได้จากบอร์ด เป็นของลูกค้า คัดลอก ส่งออก และใช้ในธุรกิจของตัวเองได้เต็มที่
• เราใช้ข้อมูลร้านเพื่อให้บริการกับลูกค้ารายนั้นเท่านั้น ไม่นำไปเทรน AI หรือโมเดลใดๆ และไม่ขายหรือส่งต่อให้ใคร
• ข้อมูลผู้ซื้อ เก็บเฉพาะรหัสผู้ซื้อที่แปลงด้วยกุญแจเฉพาะของลูกค้าแต่ละราย และพื้นที่จัดส่ง ไม่เก็บชื่อ เบอร์โทร บ้านเลขที่ อีเมล หรือเลขผู้เสียภาษีของผู้ซื้อ
• เมื่อเลิกใช้ เราลบ Google Sheet ของร้านและ session ของ seller center ภายใน 30 วัน

5. ทรัพย์สินทางปัญญา

ซอฟต์แวร์ โค้ด หน้าตาและการออกแบบของบอร์ด วิธีคำนวณและโมเดล ส่วนขยาย ตัวอย่างบอร์ด เอกสาร บทความ รูปภาพ และชื่อ “อรุณบอร์ด” / “Arunboard” เป็นของเรา และได้รับความคุ้มครองตามกฎหมายลิขสิทธิ์และกฎหมายอื่นที่เกี่ยวข้อง

ลูกค้าได้รับสิทธิ์ใช้บริการตามแพ็กเกจตลอดระยะเวลาที่ใช้บริการ สิทธิ์นี้โอนให้ผู้อื่นไม่ได้ และไม่รวมสิทธิ์ใดๆ ในโค้ดหรือวิธีคำนวณ

การที่เบราว์เซอร์แสดงโค้ดของหน้าเว็บให้เห็นได้ เช่น ผ่านการดูซอร์สหรือเครื่องมือนักพัฒนา ไม่ได้แปลว่าได้รับอนุญาตให้นำโค้ดนั้นไปใช้

6. สิ่งที่ห้ามทำ

• คัดลอก ดัดแปลง เผยแพร่ ขาย หรือให้เช่า โค้ด หน้าตา หรือส่วนใดๆ ของบอร์ด ส่วนขยาย ตัวอย่างบอร์ด หรือเว็บไซต์
• ถอดโค้ด (reverse engineer, decompile, deobfuscate) หรือพยายามแกะวิธีคำนวณออกจากบริการ
• ใช้บริการ ตัวอย่างบอร์ด หรือผลที่ได้ เป็นต้นแบบในการสร้างหรือปรับปรุงบริการที่ทำหน้าที่เหมือนหรือแข่งขันกับอรุณบอร์ด ไม่ว่าจะทำเองหรือให้ผู้อื่นทำ
• ใช้โปรแกรมอัตโนมัติดึงข้อมูล (scrape) จากบอร์ดหรือเว็บไซต์ นอกเหนือจากการส่งออกที่บอร์ดมีให้
• เจาะระบบ หลบเลี่ยงการยืนยันตัวตน พยายามเข้าบอร์ดของลูกค้ารายอื่น หรือทำให้บริการทำงานผิดปกติ

7. ตัวเลขและการตัดสินใจ

• ตัวเลขบนบอร์ดคำนวณจากข้อมูลที่แพลตฟอร์มให้มา อาจต่างจากรายงานของแพลตฟอร์มเองตามฐานการนับที่บอร์ดอธิบายไว้ และอาจเปลี่ยนเมื่อแพลตฟอร์มแก้ข้อมูลย้อนหลัง
• ตัวเลขคาดการณ์ เช่น ยอดปิดเดือนและหน้าวางแผนงบ เป็นการประมาณจากข้อมูลที่ผ่านมา ไม่ใช่การรับประกันผลลัพธ์
• บอร์ดไม่ใช่คำแนะนำด้านการเงิน บัญชี หรือภาษี การตัดสินใจทางธุรกิจเป็นของลูกค้า

8. ความพร้อมของบริการ

บริการพึ่งพาแพลตฟอร์มและผู้ให้บริการภายนอก เช่น Google และ Cloudflare ซึ่งอาจเปลี่ยนแปลง ปิดกั้น หรือหยุดชั่วคราวได้โดยไม่แจ้งล่วงหน้า เราจะแก้ให้กลับมาทำงานโดยเร็วตามสมควร แต่ไม่รับประกันว่าบริการจะทำงานได้ตลอดเวลาหรือไม่มีข้อผิดพลาด

9. ค่าบริการ

ราคาเป็นไปตามหน้าราคา หรือใบเสนอราคาที่ตกลงกัน รอบชำระ การต่ออายุ และการคืนเงิน เป็นไปตามที่ตกลงกับลูกค้าแต่ละราย

10. การระงับและการเลิกใช้

• ลูกค้าแจ้งเลิกใช้ได้ตามเงื่อนไขที่ตกลงกัน
• เราอาจระงับหรือยุติการให้บริการ หากลูกค้าผิดข้อตกลงนี้ โดยเฉพาะข้อ 6 หรือค้างชำระค่าบริการ
• เมื่อเลิกใช้ ข้อมูลของร้านเป็นไปตามข้อ 4

11. ความรับผิด

เท่าที่กฎหมายอนุญาต เราไม่รับผิดต่อความเสียหายทางอ้อม การสูญเสียกำไร หรือความเสียหายจากการตัดสินใจที่อ้างอิงตัวเลขบนบอร์ด และความรับผิดรวมของเราไม่เกินค่าบริการที่ลูกค้าชำระให้เราในช่วง 3 เดือนก่อนเกิดเหตุ

12. การปรับปรุงข้อตกลง

เราอาจปรับปรุงข้อตกลงนี้ และจะแสดงวันที่ปรับปรุงล่าสุดไว้ด้านบน หากการเปลี่ยนแปลงกระทบลูกค้าที่ใช้บริการอยู่ เราจะแจ้งทางอีเมล การใช้บริการต่อหลังการปรับปรุงถือว่ายอมรับข้อตกลงฉบับใหม่

13. กฎหมายที่ใช้บังคับ

ข้อตกลงนี้อยู่ภายใต้กฎหมายไทย ข้อพิพาทใดๆ อยู่ในเขตอำนาจของศาลไทย หากข้อความภาษาไทยและภาษาอังกฤษขัดกัน ให้ถือภาษาไทยเป็นหลัก

14. ไม่ได้เกี่ยวข้องกับแพลตฟอร์ม

อรุณบอร์ดไม่มีความเกี่ยวข้องกับ Shopee, Lazada หรือ TikTok และไม่ได้รับการรับรองจากทั้งสามแพลตฟอร์ม เครื่องหมายการค้าเป็นของเจ้าของแต่ละราย

1. What these terms cover

These terms cover the website arunboard.com, client boards on app.arunboard.com and any other board link we provide, the Arunboard Connect browser extension, the demo board, the free tools on the website and the articles (together, the “Service”). The Service is provided by Arunboard, operated by ณากร ศรีสนธิยากุล (“we”). Using the Service means you accept these terms. What the extension collects is described in the Arunboard Connect privacy policy.

2. The Service

We collect a client's shop data from Shopee, Lazada and TikTok with the access the client grants through the extension, keep it in a Google Sheet we maintain for each client, and present it as a board. Packages and prices are as shown on the pricing page or in the quotation agreed with the client.

3. Accounts and access

• Board access is tied to the e-mail addresses the client names and is for people in the client's own business only. Access may not be given to outsiders, shared or resold.
• The client is responsible for its own seller-centre accounts and confirms it is entitled to let us collect that shop's data.
• The client authorises us to use the sessions the extension sends solely to collect the client's own shop data.

4. Shop data

• The client's shop data, and the figures and reports the board produces from it, belong to the client, who may copy, export and use them freely in its business.
• We use shop data only to provide the Service to that client. It is never used to train AI or any other model, and never sold or shared.
• Of buyers, we keep only a buyer code, derived with a key unique to each client, and the delivery area. We do not keep buyers' names, phone numbers, street addresses, e-mail addresses or tax IDs.
• When a client leaves, we delete the shop's Google Sheet and seller-centre sessions within 30 days.

5. Intellectual property

The software, code, board design and layout, calculation methods and models, the extension, the demo board, documentation, articles, images and the names “Arunboard” and “อรุณบอร์ด” are ours and are protected by copyright and other applicable law.

Clients receive a right to use the Service under their package for as long as they subscribe. That right is not transferable and includes no right in the code or the calculation methods.

That a browser can display a page's code, for example through view-source or developer tools, does not mean permission is given to use that code.

6. What you may not do

• Copy, modify, publish, sell or rent the code, design or any part of the board, the extension, the demo board or the website.
• Reverse engineer, decompile or deobfuscate the Service, or attempt to extract its calculation methods.
• Use the Service, the demo board or their output as a model for building or improving a service that does the same job as, or competes with, Arunboard, whether yourself or through others.
• Scrape the board or the website with automated tools, beyond the exports the board provides.
• Break into the Service, bypass authentication, try to reach another client's board, or disrupt the Service.

7. Figures and decisions

• Figures on the board are calculated from data the platforms provide. They may differ from the platforms' own reports on the bases the board explains, and may change when a platform revises past data.
• Projections, such as the month-end forecast and the budget planner, are estimates from past data, not guarantees of results.
• The board is not financial, accounting or tax advice. Business decisions remain the client's.

8. Availability

The Service depends on the platforms and on outside providers such as Google and Cloudflare, which may change, block or pause without notice. We will restore the Service as soon as reasonably possible, but do not guarantee it will be uninterrupted or error-free.

9. Fees

Prices are as shown on the pricing page or in the agreed quotation. Billing cycles, renewal and refunds are as agreed with each client.

10. Suspension and leaving

• A client may stop using the Service on the terms agreed with it.
• We may suspend or end the Service for a client that breaches these terms, in particular section 6, or does not pay.
• On leaving, the shop's data is handled as in section 4.

11. Liability

To the extent the law allows, we are not liable for indirect loss, loss of profit, or loss arising from decisions based on the board's figures, and our total liability is limited to the fees the client paid us in the three months before the event.

12. Changes to these terms

We may update these terms and will show the date of the latest update above. If a change affects current clients, we will tell them by e-mail. Continuing to use the Service after an update means accepting it.

13. Governing law

These terms are governed by Thai law, and any dispute falls under the jurisdiction of the Thai courts. If the Thai and English texts differ, the Thai text prevails.

14. Not affiliated

Arunboard is not affiliated with, endorsed by, or connected to Shopee, Lazada or TikTok. All trademarks belong to their respective owners.
